Pursuantto ourBylaws, this meeting will include a votetofill four vacancies on
the Boardof Directors that were created by the resignationof four board members
over the past few months. The operative sectionsof the bylaws are pasted below
my signature line. If you are votedtofill a vacancy, you will serve the
remainderof this board year (September), upon which time you may run for a full
